Jewish Review reorganized as limited liability corporation

The Jewish Review, which since its creation in 1959 by the Jewish Federation of Greater Portland has been governed by a committee of the federation, has been reorganized as an Oregon limited liability corporation.
The move, which was initiated by the JFGP Governing Board last year, was taken as a means of insulating the federation from any future claims of the sort to which newspapers may occasionally be subject.
The change does not alter the ownership of the newspaper. Rather, it sets the paper apart legally and requires, among other things, that it be governed by its own board of managers.
The former Jewish Review committee has been renamed the Jewish Review Board of Managers.
At its January meeting, the new board elected its first officers. They are John Trachtenberg, president; Ben Isenberg, treasurer; Julie Diamond, secretary; and John Moss, officer at large.
All four officers were formerly members of the Jewish Review Committee, which also includes Henry Blauer, Cameron Davis, Gloria Feves Hammer, Michael Tannenbaum and Stuart Weiss. Trachtenberg chaired the former committee.
Also at its January meeting, the new board approved naming Jewish Review Editor Paul Haist the newspaper’s editor and publisher. On Jan. 15, Haist marked his 17th year with the paper.
Under the terms of the LLC, day to day operation of the Jewish Review is managed by the publisher, who reports to the board of managers.
The board of managers serves at the discretion of the JFGP Governing Board.
Portland attorney Roy Lambert facilitated the transition to the LLC. He crafted the operating agreement with input from the JFGP and the Review Committee. He also oversaw the drafting and filing of the required documents with the Corporation Division of the Oregon Secretary of State’s office.
